These Terms and Conditions govern your access to and use of the website and services offered by Micah Dot Productions, L.L.C. ("Micah Dot Productions," "we," "our," or "us").
Your access to our services is subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules and policies published and that may be published from time to time by us.
Please read the Agreement carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to be bound by these Terms. If you do not agree to any part of the terms of the Agreement, then you may not access or use our Services.
Intellectual Property
These Terms do not transfer any of our intellectual property to you. Unless otherwise specified in a signed agreement, all production frameworks, edits, templates, workflows, and proprietary methods developed by Micah Dot Productions remain our property. Clients retain ownership of their pre-existing brand assets and source materials submitted for project use.
Production Services & Delivery
Services may include brand video production, commercial shoots, event coverage, post-production editing, and strategic content planning. Project scope, milestones, deliverables, review cycles, and timelines are defined in each Statement of Work (SOW) or service agreement. We commit to professional standards and execution quality, but do not guarantee specific business or financial outcomes.
Payment Terms
Fees are outlined in each client SOW or proposal. Payment schedules, deposit requirements, and milestone billing terms must be met to initiate and continue production. Third-party costs such as location rentals, permits, talent, travel, and specialized equipment may be billed separately or passed through as agreed.
Confidentiality
We maintain strict confidentiality regarding client information, unreleased materials, production plans, and project communications. Clients agree to keep our proprietary pricing, internal processes, and production methodologies confidential.
Termination
We may terminate or suspend your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately, typically adhering to a 30-day notice period as specified in the SOW. If you wish to terminate the Agreement, you must provide written notice as per the terms of your SOW. All provisions of the Agreement which by their nature should survive termination shall survive, including ownership provisions, confidentiality, warranty disclaimers, indemnity, and limitations of liability.
Disclaimer of Warranties
Our Services are provided "AS IS" and "AS AVAILABLE". Micah Dot Productions and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that our Services will be error-free, that specific performance benchmarks will be achieved, or that access will be continuous or uninterrupted.
Limitation of Liability
In no event will Micah Dot Productions, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; or (iii) for interruption of use or loss or corruption of data. Our cumulative liability will not exceed the fees paid by you to us during the 12-month period prior to the cause of action.
Jurisdiction and Applicable Law
Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws of the pre-determined jurisdiction. The proper venue for any disputes will be the state and federal courts located in said jurisdiction.
Changes
Micah Dot Productions reserves the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes, we will notify you by posting on our website or by sending an email communication. Your continued use of our Services after such changes will be subject to the new terms.
